Welcome to Ilovefdl.com, operated by I Love Local LLC (“we,” “our,” “us,” or the “Platform”), based in Fond du Lac, Wisconsin. By accessing or using this website, you agree to these Terms & Conditions.

1. Marketplace Role

Ilovefdl.com is a multi-vendor marketplace that connects customers (“Customers”) with independent third-party sellers (“Vendors”).

We do not:

  • Own, manufacture, inspect, store, or ship any products listed by Vendors
  • Set Vendor pricing, descriptions, or availability
  • Control how Vendors operate their businesses or fulfill orders

We do:

  • Host product listings on behalf of Vendors
  • Provide a checkout experience that processes the Customer's payment through Stripe and remits the Vendor's portion to the Vendor's connected Stripe account, less our commission
  • Provide tools for Vendors to manage inventory, fulfillment, and integrations with their other sales channels

All products are listed and sold by Vendors. Each transaction is a contract between the Customer and the Vendor.

2. Vendor Responsibility

Each Vendor is solely responsible for:

  • Product listings, descriptions, photographs, and pricing accuracy
  • Product safety, quality, legal compliance, and licensing
  • Order fulfillment — including pickup readiness, shipping, packaging, and delivery
  • Returns, refunds, and exchanges (subject to Section 7 below)
  • Customer service, complaints, and disputes
  • Sales and use taxes outside Wisconsin, plus any required permits or licenses (alcohol, food handling, FFL, etc.). For sales delivered to Wisconsin customers, see §4 below — the Platform may be obligated under Wisconsin's marketplace-provider statute to collect and remit Wisconsin sales tax on the Vendor's behalf, in which case the Vendor is responsible only for its own income, business, and out-of-state tax obligations.
  • Compliance with the Prohibited Items Policy

3. Customer Accounts

To place an order, you must create an account. You agree that:

  • All information you provide is accurate and current
  • You will keep your password confidential
  • You are responsible for all activity on your account
  • You must be at least 18 years old, or have a parent/guardian's consent if under 18 (the site is not intended for users under 13)

4. Payments

Payments on Ilovefdl.com are processed through Stripe, Inc. Customers pay I Love Local LLC at checkout; we then remit the net amount to the Vendor's Stripe-connected account, less our commission, after a payout delay of 7 days from the date of the order.

We use Stripe's “Connect” infrastructure. Full card details are never stored on our servers — they are tokenized and handled directly by Stripe under their PCI-DSS Level 1 compliance.

By making a purchase, you authorize:

  • I Love Local LLC to charge your selected payment method for the full order total, including any applicable shipping, fulfillment, and tax charges
  • The pass-through of your order details (name, shipping address, items, contact info) to the relevant Vendor(s) for fulfillment

Under Wisconsin's marketplace-provider statute (Wis. Stat. § 77.523), once the Platform's Wisconsin sales exceed the statutory threshold, the Platform may be required to collect and remit Wisconsin state and local sales tax on every Vendor's sales to Wisconsin customers, regardless of whether the individual Vendor would otherwise have a Wisconsin tax obligation. When the Platform collects the tax, it will be itemized at checkout and shown on the Customer's receipt; Vendors should not separately collect Wisconsin sales tax on those orders.

5. Shipping, Fulfillment & Pickup

Each Vendor selects a fulfillment method per order, which may include in-person pickup at a Vendor's location, local delivery, or shipping. Pickup hours, addresses, and shipping timelines are set by the Vendor and shown on each Vendor's storefront and in the order confirmation.

I Love Local LLC is not responsible for lost, delayed, damaged, or misdelivered shipments, missed pickups, or any failure of fulfillment. All such issues must be resolved with the Vendor.

6. Returns & Refunds

Refund eligibility and policies are set by each Vendor. The Platform provides tooling for Vendors and Platform admins to issue refunds on Vendor's behalf within 120 days of the original order; refunds outside that window must be handled directly between Customer and Vendor through external channels.

When a refund is issued through the Platform, the disputed amount is reversed from the Vendor's Stripe balance and credited back to the Customer's original payment method. The Vendor absorbs the full refund amount, including the original Stripe processing fee. Customers should expect refunds to appear on their statement within 5–10 business days, depending on their bank.

7. Chargebacks & Disputes

If a Customer files a chargeback or dispute with their bank or card issuer regarding an order, the disputed amount, plus any chargeback fees imposed by Stripe, will be debited from the responsible Vendor's Stripe balance. If the Platform successfully fights the dispute and the funds are reinstated, the Vendor will be re-credited.

We may assist in resolving disputes between Customers and Vendors at our sole discretion but are not obligated to do so. Customers and Vendors are encouraged to attempt resolution directly first.

8. Liability Disclaimer

You expressly understand and agree that:

  • I Love Local LLC is not the seller of any products listed by Vendors
  • I Love Local LLC is not responsible or liable for the quality, safety, legality, accuracy, or fitness of any product
  • I Love Local LLC is not liable for any injury, illness, allergic reaction, property damage, or other harm caused by a product purchased through the marketplace
  • I Love Local LLC is not liable for any Vendor's failure to fulfill, ship, or honor a sale
  • All warranties, express or implied, on products are made by the Vendor — not by the Platform

9. Limitation of Liability

To the fullest extent permitted by applicable law, in no event shall I Love Local LLC, its members, officers, employees, contractors, or affiliates be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost data, or business interruption, arising out of or relating to:

  • Your use of (or inability to use) the Platform
  • Any product purchased through the Platform
  • Any conduct of any Vendor or other user

Our total cumulative liability to you for any claim arising out of these Terms or your use of the Platform shall not exceed the greater of (a) the commission we retained on the specific transaction giving rise to the claim, or (b) one hundred U.S. dollars ($100.00).

10. Indemnification

You agree to indemnify, defend, and hold harmless I Love Local LLC, its members, officers, employees, contractors, and affiliates from any claims, damages, liabilities, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Platform
  • Any transaction with a Vendor
  • Your violation of these Terms or any applicable law
  • Your violation of the rights of any third party

11. User Conduct

You agree not to:

  • Use the Platform for any unlawful purpose
  • Submit false, misleading, or infringing content
  • Attempt to disrupt, reverse-engineer, or gain unauthorized access to the Platform
  • Use automated tools (scrapers, bots) to access the Platform without our written consent
  • Harass, threaten, or impersonate any Vendor, Customer, or staff member

We may suspend or terminate any account at our discretion for violating these Terms.

12. Intellectual Property

Platform-owned material. The website's design, source code, layout, logos, branding, photography commissioned by the Platform, newspaper editions, marketing copy, and directory listings curated by the Platform are owned by I Love Local LLC or its licensors. You may not copy, redistribute, or create derivative works of this material without our written permission.

Blogger-authored articles. Articles, photographs, and other editorial content created by independent contributors (“Bloggers”) remain the property of their respective authors. Bloggers contribute on a voluntary basis and are not employees of I Love Local LLC; their work is not “work made for hire” under U.S. copyright law. By publishing through the Platform, each Blogger grants I Love Local LLC a non-exclusive, worldwide, royalty-free license to host, display, reproduce, distribute, promote, syndicate, and create excerpts of the article for the duration of its publication on the Platform and for a reasonable archival period thereafter. This license includes:

  • Display of the article on Ilovefdl.com and in any successor or partner publication operated by I Love Local LLC
  • Inclusion in newsletters, social media, and search engine summaries
  • Archival retention even after the Blogger removes the article from active publication, solely for record-keeping and historical reference

Bloggers may republish their own articles elsewhere at any time. Bloggers may request removal of an article from active display by emailing info@ilovefdl.com; we will honor reasonable removal requests within 14 days, retaining only an internal archival copy.

Vendor product content. Vendor product listings, photographs, descriptions, and storefront branding remain the property of the Vendor. By listing on the Platform, the Vendor grants I Love Local LLC a non-exclusive, worldwide, royalty-free license to host, display, reproduce, and promote the listing in connection with the marketplace, including in advertisements, social media, search-result snippets, and the Platform's email newsletters.

User-generated content. Comments, reviews, and other content posted by Customers remain the property of their authors, who grant the Platform a perpetual, irrevocable, non-exclusive, royalty-free license to display and reproduce that content on the site.

Reservation of rights. Nothing in this section transfers any other right than the license expressly granted. Trademarks and trade names of Vendors, Bloggers, or third parties referenced on the site remain the property of their respective owners.

13. Third-Party Services

The Platform integrates with several third-party services. Their handling of your data is governed by their own privacy policies:

  • Stripe (payment processing)
  • Resend (email delivery)
  • Cloudflare R2 (image and file storage)
  • Vercel (hosting and analytics)
  • Google Analytics (anonymized usage statistics)
  • Sentry (error monitoring)
  • Neon (database hosting)

14. Changes to Terms

We may revise these Terms at any time. Material changes will be communicated via email or a prominent notice on the site. Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.

15. Governing Law & Venue

These Terms and any dispute, claim, or controversy arising out of or relating to them or the Platform are governed by the laws of the State of Wisconsin, without regard to its conflict-of-law principles. The federal Electronic Signatures in Global and National Commerce Act and the Uniform Electronic Transactions Act, as adopted by Wisconsin, apply to electronic agreements formed through the Platform.

Any action or proceeding arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in Fond du Lac County, Wisconsin, and you irrevocably consent to the personal jurisdiction and venue of those courts. The prevailing party in any such action shall be entitled to recover its reasonable attorneys' fees and costs to the extent permitted by Wisconsin law.
